1. Acceptance of Terms

By accessing our website at crossfield.tech or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our website or services.

These terms apply to all clients, visitors, and others who access or use our services. "Services" includes any web development, design, consulting, or related work performed by Crossfield Tech.

2. Services

Crossfield Tech provides web development, UI/UX design, e-commerce solutions, mobile application development, cloud infrastructure, and related digital services.

The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties. In the event of any conflict between these Terms and an SOW, the SOW shall prevail.

We reserve the right to refuse service to anyone for any reason at any time.

3. Proposals & Agreements

All project quotes and proposals are valid for 30 days from the date of issue unless otherwise stated. A project is confirmed only upon receipt of a signed agreement and the required deposit payment.

Any changes to the agreed scope of work must be documented in writing via a Change Order. Additional work outside the original scope will be quoted and billed separately.

We cannot guarantee availability for projects that have not been formally confirmed with a signed agreement and deposit. Verbal agreements are not binding.

4. Payment Terms

Unless otherwise agreed in writing:

A deposit of 50% of the total project fee is due upon project commencement
The remaining balance is due upon project completion, prior to final delivery
Invoices are payable within 14 days of issue
Late payments are subject to a 1.5% monthly interest charge

We reserve the right to pause or suspend work on any project where payment is overdue by more than 14 days. Ownership of deliverables remains with Crossfield Tech until full payment is received.

All prices are quoted in USD unless otherwise specified. Applicable taxes are the responsibility of the client.

5. Intellectual Property

Upon receipt of full payment, Crossfield Tech assigns to the client all rights, title, and interest in the custom deliverables created specifically for that project, including source code, designs, and content.

The following are explicitly excluded from assignment and remain the property of Crossfield Tech:

Pre-existing tools, frameworks, libraries, and code created before the engagement
Internal processes, methodologies, and know-how
Third-party components licensed separately (e.g., stock images, fonts, plugins)

Crossfield Tech reserves the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement. This obligation continues for two (2) years after the project's conclusion.

Confidential information does not include information that is publicly known, independently developed, or disclosed by a third party without obligation of confidentiality.

7. Warranties & Representations

Crossfield Tech warrants that:

Services will be performed in a professional and workmanlike manner
We have the right to enter into these terms and perform the services described
Deliverables will not knowingly infringe any third-party intellectual property rights

We provide a 30-day warranty on all delivered work. During this period, we will fix bugs or defects that are directly attributable to our work at no additional cost. This warranty does not cover issues arising from client modifications, third-party integrations, or changes to the hosting environment.

Beyond the above, services are provided "as is" without any other warranty, express or implied.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Crossfield Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption.

Our total aggregate liability for any claim arising out of or related to our services shall not exceed the total fees paid by the client in the three (3) months immediately preceding the claim.

Some jurisdictions do not allow the limitation of certain warranties or liability, so some of the above limitations may not apply to you.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. Upon termination:

The client shall pay for all work completed up to the termination date, calculated at our standard hourly rate
Crossfield Tech will deliver all completed work and work-in-progress materials upon receipt of outstanding payment
Deposits are non-refundable unless Crossfield Tech terminates the agreement without cause

We reserve the right to terminate immediately and without notice if the client engages in unlawful activity, fails to pay outstanding invoices, or acts in a manner that is harmful to our business or team.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Serbia, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the competent courts of Belgrade, Serbia.
